- Providing logos, brand assets, images, documents, content and other required materials.
- Providing access to relevant websites, advertising accounts, social media accounts, hosting, analytics or other platforms.
- Reviewing and approving designs, content, campaigns and deliverables within agreed timelines.
- Ensuring that materials supplied to Digitalis do not infringe third-party rights.
- Providing lawful instructions and obtaining any permissions, licences or consents required for the client's business.
Delays in receiving required information, approvals, access or materials may affect project timelines and delivery schedules.
6. Projects & Deliverables
Project scope and deliverables will be determined by the applicable proposal, quotation, statement of work or written agreement.
Timelines
Estimated timelines are based on the information and requirements available when a project is planned. Timelines may change due to client delays, changes in scope, third-party dependencies, technical issues, revisions or circumstances outside our reasonable control.
Revisions
The number of revisions included in a project, where applicable, will be determined by the relevant proposal or agreement. Additional revisions or changes outside the agreed scope may result in additional fees.
Change Requests
Requests that materially change the agreed scope, functionality, design, campaign strategy or deliverables may be treated as additional work and may require a revised quotation or timeline.
7. Fees & Payments
Fees for Digitalis services will be communicated through the applicable quotation, proposal, invoice or agreement.
Unless otherwise agreed in writing, clients are responsible for making payments according to the payment schedule communicated by Digitalis.
- Project work may require an advance payment before work begins.
- Recurring services may be billed according to the agreed billing cycle.
- Third-party costs, platform charges, advertising budgets, hosting charges, domain charges, software subscriptions and other external expenses may be payable separately.
- Delayed payments may affect project schedules or service continuation.
- Additional work outside the agreed scope may be charged separately.
All applicable taxes, government charges and statutory levies, where required, may be charged in addition to the quoted fees.
8. Third-Party Platforms
Digitalis may use or integrate with third-party platforms, software, advertising networks, hosting providers, payment gateways, social media platforms, analytics services, communication tools and other external technologies.
The availability, functionality, policies, pricing and performance of such third-party services are outside our direct control.
Digitalis is not responsible for interruptions, policy changes, account restrictions, algorithm changes, technical failures, outages or other actions taken by third-party platforms.
9. Intellectual Property
Unless otherwise agreed in writing, Digitalis retains ownership of its pre-existing materials, frameworks, processes, templates, methodologies, tools, concepts, know-how and other intellectual property used in providing services.
Client-owned materials, trademarks, logos, business information and other assets supplied by the client remain the property of the client or their respective owners.
Ownership or usage rights for specific final deliverables will be determined by the applicable quotation, proposal, agreement or written arrangement between Digitalis and the client.
Digitalis may retain the right to display completed work in its portfolio, website, presentations or marketing materials unless otherwise agreed in writing or where doing so would breach a confidentiality obligation.
10. Confidentiality
Digitalis understands that clients may provide confidential business, technical, financial, marketing or strategic information during an engagement.
We will take reasonable steps to protect confidential information and use it only for legitimate purposes related to the relevant engagement, subject to applicable agreements and legal obligations.
Information that is already publicly available, independently developed, lawfully received from another source or required to be disclosed by law may not be considered confidential for the purposes of these Terms.
11. Marketing & Advertising
Digitalis may provide advertising and digital marketing services through third-party platforms such as search engines, social networks, advertising networks and other marketing technologies.
Advertising results can be affected by factors outside our control, including platform algorithms, competition, market conditions, audience behaviour, budgets, policies and changes made by third-party platforms.
Digitalis does not guarantee a specific number of leads, sales, impressions, rankings, conversions, revenue or return on advertising spend unless expressly agreed in writing.
Advertising budgets and third-party media charges are separate from Digitalis professional fees unless expressly stated otherwise.
12. Disclaimers
Digitalis will use reasonable professional efforts to provide services according to the agreed scope. However, we do not guarantee that the website, services, campaigns or deliverables will always be uninterrupted, error-free or produce a particular commercial result.
Digital marketing, advertising, search rankings, lead generation, e-commerce performance and other business outcomes depend on numerous factors, many of which are outside Digitalis's control.
Information published on our website is provided for general informational purposes and should not be considered a guarantee of any particular business, financial, marketing or commercial outcome.
13. Limitation of Liability
To the maximum extent permitted by applicable law, Digitalis shall not be liable for indirect, incidental, consequential, special or punitive losses arising from the use of our website or services.

Either Digitalis or the client may terminate a service engagement according to the terms of the applicable agreement or project arrangement.
Digitalis may suspend or terminate access to services where there is a material breach of these Terms, non-payment of applicable fees, unlawful activity, misuse of our systems or other reasonable grounds.
Upon termination, the client remains responsible for fees and approved expenses incurred up to the effective date of termination, subject to the applicable agreement.
15. Changes to These Terms
Digitalis may update these Terms & Conditions from time to time to reflect changes in our services, business practices, technology or applicable legal requirements.
When changes are made, the updated version will be published on this page and the "Last Updated" date will be revised.
Your continued use of the Digitalis website or services after updated Terms & Conditions are published constitutes acceptance of the updated terms, to the extent permitted by applicable law.
16. Governing Law
These Terms & Conditions shall be governed by and interpreted in accordance with the applicable laws of India.
Any dispute arising from or relating to these Terms or the services provided by Digitalis shall be subject to the jurisdiction of the courts having appropriate jurisdiction, subject to any separate dispute-resolution provisions contained in a written agreement between Digitalis and the client.
